Modification types

What each modification actually involves

Every type of mutation has a specific legal process. Here is what happens behind the scenes for the most common changes.

Changing a director or board member
A shareholders' resolution is required. The outgoing person must formally resign. The incoming person submits their details for the HRAB entry. No statutes amendment needed unless the articles name specific individuals.
Changing the company name
A statutes amendment is required. The new name must be checked for availability in the SOGC. A notarially authenticated shareholders' resolution is then filed with the HRAB. The old name is reserved for three years.
Changing the registered seat
Moving to a different commune or canton requires a statutes amendment. The new address must be a legal domiciliation address. VOZ can provide the new address and coordinate the canton transfer simultaneously.
Changing the company purpose
The Zweck defines what your company is legally permitted to do. Changing it requires a notarially authenticated statutes amendment. VOZ drafts the new purpose clause to ensure it is broad enough to cover future activities.
Share transfer (GmbH)
GmbH share transfers require a notarially authenticated assignment deed between the transferor and acquirer. The transfer must then be registered in the share ledger and notified to the HRAB to update the public commercial register entry.
Capital increase or reduction
Both require a statutes amendment and specific auditor involvement above certain thresholds. VOZ coordinates with the notary and, where required, with the statutory auditor to ensure the process meets OR requirements.

Simple mutations without statutes amendments are often faster — 3 to 5 business days. The updated entry appears publicly on ZEFIX immediately upon registration.

Yes. Company modification services are available to Swiss companies regardless of their current domiciliation provider, as long as the company is registered in Canton Zug or is moving to Canton Zug.
