Please read these Terms carefully. By accessing or purchasing any service from Virtual Office Zug, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Hevea Investment ("Virtual Office Zug", "we", "us", "our"), governing your access to and use of the services available at virtual-office-zug.com.
By clicking "I agree", completing a purchase, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
These Terms were last updated on January 1, 2026. Continued use of our services following any update constitutes acceptance of the revised Terms.
2. Description of Services
Virtual Office Zug provides the following services to clients establishing or maintaining a business presence in the Canton of Zug, Switzerland:

| Swiss Director | Appointment of a Swiss-resident director for GmbH or AG entities as required under Swiss company law, subject to eligibility review and a separate director agreement. |
| Company Formation | Assistance with the incorporation of a Swiss GmbH or AG, including preparation of articles of association, notarial filing, and Commercial Register (HR) registration. |
| Mail Management | Receipt, scanning, forwarding, or shredding of physical mail received at your registered address, according to your selected plan. |
| Optional add-ons | Phone answering, meeting room access, and additional services as listed on our pricing page from time to time. |
The precise scope of each service is defined on our website at the time of purchase. Services may be updated or expanded at our discretion, subject to notice to existing clients.
3. Eligibility
To use our services, you must:
- Be at least 18 years of age.
- Have full legal capacity to enter into a binding contract.
- Provide accurate, current, and complete information during registration and onboarding.
- Use our services for a lawful business purpose only.
- Not be subject to sanctions by Switzerland, the European Union, the United States, or the United Nations.
- Not be located in a jurisdiction subject to comprehensive sanctions or where our services are otherwise prohibited.
We reserve the right to refuse service to any person or entity at our sole discretion, including where we are unable to satisfactorily complete anti-money laundering and know-your-customer (AML/KYC) checks.
4. Payment Terms
Billing
Services are billed in Swiss Francs (CHF) on a monthly or annual basis, as selected at checkout. Annual plans are paid in full at the start of each billing year. Monthly plans are billed on the same calendar day each month.
Payment processing
All payments are processed by Stripe, Inc. By providing payment details, you authorise Stripe to charge your payment method for the applicable fees. We do not store your card details on our servers.
Price changes
We will give you at least 30 days' written notice by email before any price increase takes effect. Continued use of the service after the effective date constitutes acceptance of the new price.
Refunds
Subscription fees paid for a given billing period are non-refundable except where required by applicable law. One-time setup fees and government filing fees are non-refundable once the relevant work has commenced. If you have a concern about a charge, contact us within 14 days at billing@virtual-office-zug.com.
Late payment
If a payment fails, we will notify you by email and retry after 5 business days. If payment remains outstanding for 15 days, we may suspend access to your account and registered address services until the outstanding amount is settled.
5. Service Activation
Your service is considered activated when we issue your official registered address confirmation by email. The registered address must not be used publicly or with the Commercial Register before this confirmation is issued.
Activation is subject to satisfactory completion of our AML/KYC review. We may request additional documentation where required. Delays caused by incomplete or inaccurate documentation are not attributable to us.
6. Client Obligations
As a client, you agree to:
- Provide accurate, complete, and up-to-date information at all times, including promptly notifying us of any changes to your company details, beneficial ownership, or business activity.
- Cooperate with any AML/KYC requests, including providing identity documents, source-of-funds information, or business documentation when requested.
- Use the registered address only for the entity and purpose declared during onboarding. Use for any other entity requires a separate subscription.
- Not sublet, share, or resell the registered address to any third party.
- Maintain a valid subscription and settle all invoices by the due date.
- Notify us promptly if your company enters insolvency proceedings, is struck off the register, or if its beneficial ownership changes.
- Comply with all applicable Swiss federal and cantonal law, including commercial registration requirements, tax obligations, and anti-money laundering regulations.
7. Prohibited Uses
You must not use our services in connection with any of the following:
Violation of these prohibitions constitutes an immediate material breach and entitles us to terminate your subscription without refund and to report the matter to relevant authorities.
- Money laundering or terrorist financing — any activity that constitutes an offence under the Swiss Anti-Money Laundering Act (AMLA) or any applicable equivalent.
- Tax evasion — use of the address to evade tax obligations, including the concealment of beneficial ownership or the movement of funds in violation of automatic exchange of information (AEOI) obligations.
- Fraudulent activity — including misrepresentation of company identity, fictitious commercial activities, or deception of counterparties.
- Sanctions evasion — any activity that would breach Swiss, EU, US, or UN sanctions regimes.
- Illegal goods or services — trading in or facilitating the trade of controlled substances, weapons, counterfeit goods, or any other products or services prohibited by Swiss law.
- Shell company abuse — maintaining a company with no genuine economic activity for purposes other than legitimate holding or asset management structures permitted under Swiss law.
- Misuse of the director service — instructing or attempting to instruct our appointed Swiss director to sign documents, enter contracts, or take actions that are unlawful or that the director has not approved.
8. Intellectual Property
All content on this website, including text, graphics, logos, interface design, and software, is the property of Hevea Investment or its licensors and is protected by applicable intellectual property law.
You are granted a limited, non-exclusive, non-transferable licence to access and use this website for the purpose of evaluating and purchasing our services. You must not copy, reproduce, distribute, modify, or create derivative works from any part of this website without our prior written consent.
Nothing in these Terms transfers any intellectual property rights to you. Your company name, trademarks, and documents remain your property.
9. Limitation of Liability
We shall not be liable for any of the following losses, whether direct or indirect, even if we have been advised of the possibility of such losses:
- Loss of revenue, profit, or anticipated savings.
- Loss of business, contracts, or commercial opportunity.
- Damage to reputation or goodwill.
- Loss or corruption of data.
- Indirect or consequential losses of any kind.
We do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded under Swiss law.
Force majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, government action, regulatory changes, bank failures, natural disasters, or prolonged service outages of third-party providers.
10. Termination
Termination by you
You may terminate your subscription at any time by giving us 30 days' written notice by email to cancel@virtual-office-zug.com. Your subscription will remain active and billable until the end of the notice period. You must update your registered address with the Commercial Register and any counterparties before termination takes effect.
Termination by us — for cause
We may terminate your subscription with immediate effect, without notice and without refund, in the event of:
- Any actual or suspected violation of Section 7 (Prohibited Uses).
- Failure to provide requested AML/KYC documentation within 10 business days of request.
- Providing false or materially misleading information during onboarding or at any time.
- Non-payment outstanding for more than 30 days after the due date.
- Any action that exposes us to legal, regulatory, or reputational risk.
Termination by us — without cause
We may also terminate your subscription for any other reason by giving you 30 days' written notice by email. In this case, we will refund any prepaid fees for the unused portion of your subscription.
Effect of termination
Upon termination for any reason: (a) all rights granted to you under these Terms cease immediately; (b) you must cease using our address as your registered address; and (c) we will retain your data as set out in our Privacy Policy.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of Switzerland, in particular the Swiss Code of Obligations (OR), the Civil Code (ZGB), and applicable cantonal law of Zug, without regard to any conflict-of-law principles.
Any dispute, controversy, or claim arising out of or in connection with these Terms, including their formation, validity, breach, or termination, shall be subject to the exclusive jurisdiction of the ordinary courts of the Canton of Zug, Switzerland.
Notwithstanding the above, we reserve the right to seek injunctive or other equitable relief in any competent court to protect our intellectual property rights or prevent irreparable harm.
12. Changes to Terms
We may update these Terms from time to time to reflect changes in our services, applicable law, or business practices. When we make material changes, we will:
- Update the "Effective" date at the top of this page.
- Send you an email notification to the address associated with your account at least 14 days before the new Terms take effect (30 days for material changes to payment terms or limitation of liability).
If you do not agree to the updated Terms, you may terminate your subscription in accordance with Section 10 before the new Terms take effect. Continued use of our services after the effective date constitutes your acceptance of the updated Terms.
